Terms of Service
Effective Date: July 29, 2026 · Last Updated: July 29, 2026. These terms govern your use of the FixedLayer Labs website, our products, user accounts, and our custom engineering engagements.
These terms apply to fixedlayer.com and to every FixedLayer Labs product and subdomain, including Traxpense, TrackMyOffice, and ClearMail.
1. Acceptance of These Terms
These Terms of Service (“Terms”) form a binding agreement between you (“you”, “user”, or “client”) and FixedLayer Labs(“we”, “us”, “our”). By accessing fixedlayer.com, creating an account, or using any FixedLayer Labs product, you confirm that you have read and agree to these Terms and to our Privacy Policy, which is incorporated here by reference.
You must be at least 16 years old (or 18 where local law requires) and legally capable of entering a contract. If you accept these Terms on behalf of a company, you represent that you are authorized to bind that company. If you do not agree, do not sign in or use the services.
2. What We Provide
FixedLayer Labs provides two related things: (a) professional engineering services — software engineering, cloud architecture, AI orchestration, data engineering, and automation, and (b) software products operated by us and made available on our subdomains.
For engineering services, all engagement parameters, milestone timelines, and specific deliverables are detailed in a formally executed Statement of Work (“SOW”). Where an SOW conflicts with these Terms, the SOW controls for that engagement.
3. Accounts & Authentication
Some features and products require an account. You may create one using “Sign in with Google” or other authentication methods we offer. Authentication is performed by the identity provider; we never receive your password.
- You agree to provide accurate information and to keep your account secure. You are responsible for all activity under your account.
- One person or entity per account. Do not share credentials or impersonate others.
- Notify us at support@fixedlayer.com immediately of any unauthorized access.
- You may delete your account at any time from the product settings or by emailing privacy@fixedlayer.com.
4. Third-Party Integrations & API Access
Certain FixedLayer Labs products integrate with third-party services to deliver their core functionality. For example, ClearMail connects to the Gmail API, and other products may connect to calendar, productivity, or financial data services.
We request access and data strictly as required by each application’s use case. Before any access is granted, the third-party provider presents a consent screen naming the exact permissions requested. By approving that screen and signing in, you expressly authorize FixedLayer Labs to access and process the approved data on your behalf, solely to operate the features you requested.
- We request only the minimum permissions necessary for the feature in question, and we will not silently expand them — a broader scope always requires a fresh consent screen.
- Actions we take through third-party APIs (for example deleting, archiving, or unsubscribing from messages, where you have granted such access) are performed only on the items you select or the rules you configure. Such actions may be irreversible, and you are responsible for reviewing your selection before confirming.
- Your use of third-party services remains governed by their terms and policies. We are not responsible for third-party outages, rate limits, API changes, or account actions taken by those providers.
- You may revoke our access at any time via the third-party provider’s account permissions page. Revocation immediately disables any dependent features.
- Our handling of data obtained through third-party APIs complies with the applicable provider’s terms of service and user data policies, as detailed in our Privacy Policy.
5. Acceptable Use
You agree not to:
- Use the services unlawfully, or to send spam, phishing, malware, or unsolicited bulk messages.
- Access accounts, data, or APIs you are not authorized to access, or use our integrations to process another person’s data without their consent.
- Reverse engineer, scrape, resell, or create derivative services from our platform, or circumvent rate limits, security controls, or authentication.
- Interfere with service availability, probe our infrastructure without written authorization, or upload content that infringes third-party rights.
Violations may result in immediate suspension and, where appropriate, referral to law enforcement.
6. Your Content & Data
You retain all ownership of the content, documents, and data you submit or connect to our services. You grant us a limited, non-exclusive, revocable licence to host, process, and transmit that content strictly to operate and support the service for you.
We do not use your content — including any data obtained through third-party integrations — to train, fine-tune, or evaluate generalized AI or LLM models, and we do not sell it. See our Privacy Policy for retention and deletion timelines.
You are responsible for maintaining your own backups of critical data and for verifying destructive operations before confirming them.
7. Intellectual Property & IP Transfer
The FixedLayer Labs name, logo, website, product interfaces, and underlying platform code remain our property. Nothing in these Terms transfers ownership of our pre-existing tools, libraries, or frameworks.
For client engagements we believe in unencumbered client ownership. Upon receipt of full milestone payment, all custom source code, infrastructure-as-code configurations, AI prompt schemas, and design systems developed specifically for your engagement transfer entirely to your organization. We retain no licensing fees and impose no restrictive vendor lock-in over custom deliverables, subject only to a perpetual licence back to us for generic know-how and reusable non-client-specific components.
8. Open Source & Third-Party Components
Where appropriate, we build on world-class open-source frameworks such as Next.js, React, Python, and Terraform. Use and licensing of those layers adhere to their respective original licences (MIT, Apache 2.0, and others). Third-party services integrated into our products are governed by their own terms, and we make no warranty on their behalf.
9. Client Engagements, SOWs & Governance
Clients agree to provide timely access to architectural documentation, API credentials, and cloud environments required to execute the agreed deliverables. You confirm you have the right to grant us such access. FixedLayer Labs is not liable for milestone delays resulting from unfulfilled client dependencies, and timelines shift accordingly.
Every consultation is treated with the confidentiality of a formally executed NDA. If your counsel requires a bespoke legal framework or Data Processing Agreement before technical discovery, contact legal@fixedlayer.com.
10. Fees, Billing & Refunds
Free tiers may be offered for certain products and may change or end with notice. Paid plans and engagements are billed as set out in the applicable plan page or SOW, exclusive of taxes. Late payment may result in suspension of services or deliverable handover. Refunds are handled per the applicable plan terms or SOW; statutory consumer rights are unaffected.
11. Warranties & Disclaimers
For contracted engagements, we warrant that codebases and infrastructure layers are delivered in accordance with premium engineering standards, strictly typed and comprehensively tested. Structural defects identified within the agreed warranty period will be remediated by our senior architects at no additional cost.
Our self-serve products and this websiteare otherwise provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation, nor the continued availability of any third-party API.
12. Limitation of Liability
To the maximum extent permitted by law, FixedLayer Labs is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the services is limited to the greater of (a) the amounts you paid us in the twelve months preceding the claim, or (b) USD 100.
Nothing here excludes liability that cannot lawfully be excluded, including for fraud, gross negligence, or death or personal injury caused by negligence.
13. Indemnification
You agree to indemnify and hold harmless FixedLayer Labs and its personnel from claims, damages, and reasonable legal costs arising from your misuse of the services, your violation of these Terms or applicable law, or your infringement of third-party rights — including any unauthorized processing of another person’s data through our integrations.
14. Suspension & Termination
You may stop using the services and delete your account at any time. We may suspend or terminate access if you breach these Terms, if required by law or by a third-party provider, or if your use poses a security risk — with notice where reasonably practicable. On termination, your right to use the services ends immediately; we revoke stored authentication tokens and delete your data per the retention schedule in our Privacy Policy. Sections 6, 7, 11, 12, 13, and 15 survive termination.
15. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules, and the courts of Pune, Maharashtra shall have exclusive jurisdiction — except where mandatory consumer-protection law in your country of residence grants you the right to bring proceedings locally. Before filing a claim, please contact legal@fixedlayer.com so we can try to resolve the matter informally within 30 days.
16. Changes to These Terms
We may update these Terms as our services evolve. The “Last Updated” date above reflects the current version. For material changes we will provide notice by email or in-product banner before they take effect. Continued use after the effective date constitutes acceptance; if you disagree, stop using the services and delete your account.
If any provision is found unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. These Terms, together with any applicable SOW and our Privacy Policy, are the entire agreement between us.
